SLJ Shareholders Approve Proposed Scheme of Arrangement Related to Issuance of Newly Created Sagicor Group Jamaica Shares

Sagicor Life Jamaica Limited (SLJ) has advised that the stockholders of SLJ at an Extraordinary General Meeting held on Tuesday September 3, 2013, to consider and approve the proposed Scheme of Arrangement, unanimously voted in favour of the Scheme. With this approval by the stockholders, the Scheme of Arrangement must now be sanctioned by an Order of the Supreme Court and the Registrar of Companies notified before the Scheme becomes effective. Once the Scheme is approved, all stock units in SLJ will be cancelled and the newly created Holding Company, Sagicor Group Jamaica Limited will issue and allot the ordinary shares of equal value in its capital to stockholders of the company. The Sagicor Group shares will also be converted to ordinary stock units and the SLJ stock units will be delisted and the Sagicor Group stock units will be listed in their place.

SGJ has advised that Mr. Claude Norfolk has resigned from the Board of Directors SGJ and its subsidiary; The Bank of Nova Scotia Jamaica Limited effective September 1, 2013.

The Boards of Directors of Scotia Group Jamaica and Scotia Investments have declared a dividend of $0.40 and $0.45 per share respectively payable on October 9, 2013 to shareholders on record as at September 18, 2013. The ex-dividend date for both payments is September 16, 2013.
