The Annual General Meeting of Kingston Properties Limited will be held at the Knutsford Court Hotel, 16 Chelsea Avenue, Kingston 5, Jamaica on Tuesday, May 13, 2014 at 10:00 a.m.

The Board of Directors of National Commercial Bank Jamaica Limited will consider the payment of an interim dividend at a meeting to be held on Thursday, April 24, 2014.

Berger Paints Jamaica Limited has advised that at a meeting of the Board of Directors held on April 14, 2014, the Directors passed a resolution that a Final Dividend payment of $0.08 per ordinary stock unit payable on July 9, 2014 be recommended to the stockholders on record as at June 20, 2014 in respect of the year ended March 31, 2014. The ex-dividend date is June 18, 2014.

This is to advise that by resolution passed on April 14, 2014, the board of directors of Access Financial Services Limited has removed, with immediate effect, from Mr. Marcus James, all powers of management of the Company’s affairs previously granted to him by the directors, under the articles of the Company.  Those powers will now vest in, and be exercised by, Mr. Alexander Johnson, who was appointed, by resolution, to act as Chief Executive Officer of the Company, along with Mr. James, until further notice.

The resolutions were passed pursuant to an order granted by Sykes J on April 11, 2014, which varied a previous order of the Court. 

The dispute with Marcus James continues.

The Board of Directors of Proven Investments Limited has approved the issuance of ordinary shares in the Company by way of a renounceable rights issue of one share for every four shares held.

Seprod Limited (SEP) has advised that Mr. Stephen Black and Dr. Wayne McLaughlin resigned as directors effective March 31, 2014 and Mr. Geoffrey Messado resigned effective April 7, 2014. SEP has also advised that Mr. Leonard Green and Mr. Aston Smith were appointed directors effective April 3, 2014.

Sagicor Investments Jamaica Limited has advised that at the Extraordinary General Meeting held on March 27, 2014 100% of the stockholders present voted in favour of the Scheme of Arrangement as proposed by the Court Order at the meeting. Effectively the Scheme of Arrangement will result in stockholders of Sagicor Investments Jamaica Limited being issued with 1.8 Sagicor Group Limited Shares for every 1 ordinary stock unit held in Sagicor Investment Jamaica Limited. However this is subject to the final approval of the Supreme Court. Once approved a request will be made to the Jamaica Stock Exchange by order of the Board to close the register of Sagicor Investments Jamaica to effect the conversion/transfer of the stocks to Sagicor Group Limited. Thereafter an application will be made to list those shares in the register of Sagicor Group Limited and also for the delisting of Sagicor Investments Jamaica Limited.
